Photography Booking and License Agreement

This agreement is entered into between Poole Media Co., and/or Jesse D. Poole, and/or Corey C. Poole (hereafter referred to as "Photographer") and the client ("Client") for the provision of photography services. By proceeding with the booking, the Client agrees to the terms outlined below:

Session Details

Date & Time: As agreed upon during booking.

Location: As specified by the Client and Photographer.

Duration: Based on the package selected.

Type of Photography: (e.g., portraits, events, weddings, etc.)

2. Payment Terms

A non-refundable deposit of [amount] is required to secure the session date.

The remaining balance is due [on/before the session date].

Accepted payment methods include [list methods, e.g., credit card, PayPal, cash, etc.].

3. Cancellation and Rescheduling Policy

Cancellations: The deposit is non-refundable but may be applied to a future session if canceled at least 48 hours in advance.

Rescheduling: Rescheduling is allowed one time with at least 48 hours' notice, subject to availability.

Force Majeure: In case of unforeseen circumstances (e.g., illness, weather, or emergencies), the Photographer reserves the right to reschedule the session.

4. Photo License Agreement

Copyright Ownership

All photographs are the exclusive property of Poole Media Co., and/or Jesse D. Poole, and/or Corey C. Poole, and are protected under U.S. Copyright Law. The Photographer retains full copyright to all images unless otherwise agreed upon in writing.

Client Usage Rights

The Client is granted a non-exclusive, non-transferable license to use the purchased photographs for personal use only, including:

Displaying photos in personal spaces (e.g., home, office).

Sharing photos on social media platforms with proper credit (e.g., tagging Poole Media Co. or including the Photographer's name).

Restrictions on Usage

The Client may not:

Alter, edit, or change the photographs in any way (e.g., applying filters, cropping, or adjustments).

Use the photographs for commercial purposes without prior written consent.

Resell, relicense, or distribute the photographs to third parties.

Remove any watermark or copyright notice.

Model Release

The Client grants Poole Media Co., and/or Jesse D. Poole, and/or Corey C. Poole the right to use the photographs for promotional purposes, including but not limited to website galleries, social media, and advertising. If the Client wishes to opt out, they must notify the Photographer in writing before the session.

Commercial Licensing

If the Client requires phot

ographs for commercial use (e.g., advertising, product packaging, publishing), a separate agreement and licensing fee will be required.

5. Delivery and Archive Policy

Final images will be delivered digitally through an online gallery or via USB (if applicable) within agreed timeframe [e.g., 2-4 weeks].

Clients are responsible for downloading and backing up their images upon receipt.

The Photographer does not guarantee long-term archiving of delivered files.

6. Liability Waiver

The Photographer is not liable for any damages, accidents, or loss of images due to technical issues, natural disasters, or other unforeseen circumstances beyond their control.

7. Client Responsibilities

The Client agrees to:

Arrive on time and be prepared for the session.

Follow the Photographer’s instructions during the session to achieve the best results.

Notify the Photographer of any special requests or concerns prior to the session.

8. Dispute Resolution

Any disputes arising under this agreement will be resolved in accordance with the laws of the State of Louisiana. Mediation will be the first step in resolving any disagreements.

By proceeding with this booking, the Client acknowledges that they have read, understood, and agree to all terms outlined in this agreement.

Subscription Service Agreement

This Subscription Service Agreement ("Agreement") is entered into by and between Poole Media Co. ("Service Provider") and the subscribing client ("Client"). By subscribing to our services, the Client agrees to the following terms and conditions:

1. Scope of Services

Poole Media Co. agrees to provide professional subscription-based services, including but not limited to:

• Website development and/or maintenance

• Social media management and/or content creation

• Photography services / sessions

Services will be rendered in accordance with the subscription package selected by the Client. Specific deliverables and timelines will be detailed in the package description at the time of purchase.

2. Client Responsibilities

To enable the effective delivery of services, the Client agrees to:

a. Provide timely communication and feedback as requested by the Service Provider.
b. Supply any required information, materials, images, or content necessary for the completion of the services.
c. Review and approve deliverables as requested by the Service Provider.

Failure to fulfill these responsibilities may impact the Service Provider's ability to perform the services as agreed. The Client acknowledges and agrees that such failure does not constitute a breach of this Agreement by the Service Provider.

3. Hold Harmless Clause

The Client agrees to hold Poole Media Co. harmless from any and all claims, damages, or liabilities arising from the Client's failure to:

• Communicate necessary information or approvals.

• Provide required materials or resources.

• Actively engage with the services offered under this subscription.

The Service Provider is not responsible for unused services or any resulting outcomes due to the Client's lack of participation or engagement.

4. Service Delivery

Poole Media Co. will provide the services as outlined in the subscription plan selected by the Client.

a. The Service Provider will make reasonable efforts to deliver services in a timely and professional manner.
b. Services are deemed fulfilled when deliverables are made available to the Client, regardless of whether the Client chooses to use or act on them.

5. Non-Refundable Subscription

Subscription fees are non-refundable. Failure to engage with the provided services, including lack of communication, does not entitle the Client to a refund.

6. Limitation of Liability

Poole Media Co.'s liability under this Agreement is limited to the value of the subscription fees paid by the Client during the current subscription period. Under no circumstances shall Poole Media Co. be liable for indirect, incidental, or consequential damages resulting from the Client's failure to fulfill their responsibilities or utilize the services.

7. Agreement Acknowledgment

By subscribing to our services, the Client acknowledges that they have read, understood, and agree to the terms and conditions set forth in this Agreement.
